1. General Terms and Contractual Basis

1.1 The following provisions form the basis of all business relations between Softeis Investition – Zoran Obradovic and its business customers. These terms apply to all purchases via our online platform as well as direct orders. Individual agreements require written confirmation by Softeis Investition.

1.3 Gender-neutral language is used throughout these GTC.

1.4 Contract partners are companies placing orders with Softeis Investition – Zoran Obradovic. By submitting a VAT-ID number, they confirm their status as entrepreneurs according to the Austrian Commercial Code (UGB). Softeis Investition reserves the right to withdraw from contracts if discrepancies arise.

1.5 Softeis Investition reserves the right to amend or supplement these GTC at any time. The version valid at the time of the order applies.
 

2. Product Offers and Contract Formation

2.1 Product presentations in the online shop of Softeis Investition are non-binding and do not constitute a legally binding offer. Exact product specifications can be found in the product description at the time of order. Product images serve as illustrations.

2.2 The products offered are intended primarily for professional use and should be handled according to included instructions and guidelines. Installation is recommended to be done by qualified personnel.

2.3 Orders placed via the online shop are considered purchase offers subject to acceptance by Softeis Investition. The contract is concluded upon explicit order confirmation or delivery. This especially applies to pre-ordered or custom-made products.

2.4 For custom orders and special requests, individual terms including deposits and cancellation rights are agreed upon. Validity of offers and final prices are specified before contract signing.
 

3. Scope of Application

These GTC exclusively govern all deliveries and services of Softeis Investition, unless expressly agreed otherwise in writing. Conflicting terms from the customer are only recognized if confirmed in writing.

4. Prices and Payment Terms

4.1 Prices are exclusive statutory VAT. Shipping and delivery charges depend on delivery location and order volume and are agreed individually.

4.2 Stock items are shipped after full payment.

4.3 For made-to-order products, staggered payments apply: 50% deposit upon order, 50% before dispatch. Production and delivery times vary, especially in peak season.

4.4 Additional customs duties may apply for international shipments.

4.5 Bank transfer is the standard payment method; others can be arranged.

4.6 Late payments incur default interest and potential legal costs according to the Austrian Lawyers’ Tariff Act (RATG).
 

5. Warranty, Liability, and Guarantee

5.1 Products generally carry a warranty of 1 to 5 years unless otherwise agreed.

5.2 No warranty for damage from improper use or normal wear and tear. Legal warranty claims remain unaffected.

5.3 Legal warranty period reduced to six months from delivery. Customer must prove defects existed at delivery.

5.4 Defects must be reported in writing within one week after receipt.

5.5 No liability for indirect damages (e.g., lost profits), except in cases of gross negligence or intent.

5.6 Minor deviations in product performance due to external factors are not defects.

5.7 For justified claims, customer service decides on repair, replacement, or price reduction. Return shipping costs are covered if claim is valid.

5.8 Goodwill gestures are voluntary and do not affect legal rights.

5.9 Customers are informed about legal changes regarding warranty and proper disposal of electronic devices.

5.10 Customer service is available weekdays from 9:00 to 17:00.

6. Delivery and Shipping Terms

6.1 Delivery to the specified address; ownership transfers upon full payment.

6.2 Shipping costs vary and are individually agreed.

6.3 Standard delivery: within 5 business days after order confirmation unless stated otherwise.

6.4 Bulk or custom orders coordinated separately for delivery time.

6.5 Shipments are insured until handover to customer.

6.6 In case of refusal of acceptance, storage fees may apply.

6.7 No liability for delays due to force majeure or carrier issues.

6.8 No liability for delays caused by third-party supply chains.

6.9 No liability for consequential damages from delivery delays.

6.10 Customers are promptly informed about known delivery problems.

7. Right of Withdrawal / Cancellation

7.1 Cancellation fee of 25% applies if the customer cancels. Same applies if cancellation is due to customer’s failure to meet payment terms.

7.2 Deviations from cancellation terms require written agreement.

7.3 Right to withdraw if production or delivery issues occur with the manufacturer; no claims for damages apply.

7.4 Customer cancellations only with written consent and 25% fee.

7.5 Limited right of withdrawal for custom products.

7.6 Processing fees for cancellations may apply.

7.7 Refunds processed minus cancellation fees within specified periods.

7.8 Written documentation of cancellations advised.

7.9 Consultation recommended before cancellation to explore alternatives.

7.10 Order changes possible only until certain production stages, may incur additional costs.

8. Intellectual Property

8.1 All content on the website and online shop, including texts, graphics, logos, and images, are protected by copyright owned by Softeis Investition or partners.

9. Final Provisions

9.1 Jurisdiction: Competent court at company headquarters in Pertisau (Schwaz), Austria. Austrian law applies excluding CISG.

9.2 Severability clause applies to invalid provisions.

9.3 Amendments effective upon publication on website.

9.4 Customers must notify changes in contact details promptly.
